Marvel Team-Up #33 published in May 1975 by Marvel Comics featuring Spider-Man and Nighthawk.
Background:
Marvel Team-Up is the name of several American comic book series published by Marvel Comics. The series featured two or more Marvel characters in one story. The original series was published from March 1972 through February 1985, featuring Spider-Man as the lead "team-up" character in all but nine of its 150 issues; of the remainder the Human Torch and the Hulk starred in six and three issues, respectively. When cancelled, the title was replaced by Web of Spider-Man.

The second series was published for 11 issues from September 1997 through July 1998 and originally featured Spider-Man; Namor the Sub-Mariner was the featured character starting with #8. A quarterly series titled Spider-Man Team-Up fulfilled much the same purpose as the original title from 1995-1997. The third Marvel Team-Up series, written by Robert Kirkman, began publication in January 2005 and frequently featured Spider-Man. This volume often reintroduced lesser-known Marvel characters that had fallen into obscurity.
Characters:
Spider-Man is a fictional superhero appearing in American comic books published by Marvel Comics. Created by writer-editor Stan Lee and writer-artist Steve Ditko, Spider-Man first appeared in Amazing Fantasy #15 (Aug. 1962). Lee and Ditko conceived the character as an orphan being raised by his Aunt May and Uncle Ben, and as a teenager, having to deal with the normal struggles of adolescence in addition to those of a costumed crime-fighter. Spider-Man's creators gave him super strength and agility, the ability to cling to most surfaces, shoot spider-webs using wrist-mounted devices of his own invention, which he calls "web-shooters", and react to danger quickly with his "spider-sense", enabling him to combat his foes.

Nighthawk is the name of several fictional characters that appear in publications published by Marvel Comics. There have been five versions of the character: a supervillain-turned-superhero from the mainstream Marvel Universe continuity, Kyle Richmond, who belonged to the team Squadron Sinister; and four from alternate universes, who belonged to various permutations of team Squadron Supreme.
